Terms of Use
Morph (hereinafter referred to as "the Service") is a data management web application developed by Queue Inc (hereinafter referred to as "the Company"). In order to use the Service, you must agree to all of the terms and conditions of this Terms of Use. By using the Service, you are deemed to have agreed to these Terms of Use.
Article 1 (Use of the Service)
The Service is available to all users who have signed up through the Service URL. Customers may use the Service upon agreeing to these Terms of Use. The provision of the Service may be temporarily suspended or discontinued without prior notice to the customer in the event that the Company deems it unavoidable, such as periodic or emergency maintenance and inspection work on facilities or force majeure such as natural disasters.
Article 2 (Contents of the Service)
The Service is a web application for the purpose of no-code data management. The contents of the Service are subject to change without notice to you.
Article 3 (Disclaimer)
The Company makes no warranty of any kind regarding the completeness, accuracy, usefulness, harmlessness, or fitness for your purposes of use of the Service. The Company shall not be liable for any damages incurred by you or any third party as a result of your use of the Service or inability to use the Service. In the event that a customer infringes the rights of another customer or a third party or otherwise causes damage to another customer or third party through the customer's use of the Service, or if a dispute arises between a customer and another customer, the customer shall resolve the dispute at the customer's own responsibility and expense, and shall take necessary measures to prevent any damage to the Company. The Company shall not be liable for any loss or damage of any kind incurred by the customer. The Company shall not be liable for any partial or total loss of customer data, or deletion or erasure by the Company, for any reason whatsoever.
Article 4 (Suspension of Use and Other Measures)
(1) If the Company determines that a customer has committed an act in violation of these Terms of Use, the Company may suspend the customer's use of the Service or take any other necessary action without any notice. (2) In addition, if the Company determines that a customer has performed or committed any of the following, the Company may suspend the customer's use of the Service or take any other necessary measures. The Company shall not be obligated to disclose any reason for such action. (i) If the customer has violated these Terms of Use. (ii) If the Company determines that the person is operating or cooperating in the operation of a website or service that is similar to or in competition with the Service (iii) If you are an anti-social force, etc. (meaning organized crime groups, organized crime groups, fascist groups, anti-social forces, or other similar persons. Article 5 (Management of Customer Information)

Article 6 (Representations and Warranties)
You represent and warrant to the Company that (1) You will not commit any act that infringes on the copyrights or other intellectual property rights, portrait rights, rights of privacy, honor, or other rights or interests held by the Company, other customers, or third parties. (2) To comply with all other laws and regulations and the provisions of these Terms and Conditions.
Article 7 (Effect of Breach of Representations and Warranties)
(1) In the event that a customer breaches the representations and warranties in the preceding Article, the Company shall not be liable for any damages or other losses incurred in connection with such breach. (2) The Company may, in its sole discretion, restrict or suspend the use of all or part of the Service, or take any other necessary measures, in accordance with the provisions of this Agreement, with respect to any Customer who has breached or is likely to breach any of the representations and warranties set forth in the preceding Article or any Customer whom the Company deems inappropriate. (3) In the event that a third party files a claim of infringement, objection, claim, demand, petition for a court injunction, or lawsuit against you due to your breach of the representations and warranties in the preceding Article, you shall handle it at your own responsibility and expense, and shall not cause any trouble to us and shall not cause damage or incur expense to us. (4) In the event of a claim, lawsuit, etc. for the disposition of the preceding paragraph, the customer shall handle such claim, lawsuit, etc. at its own responsibility and expense. (5) If the Company suffers damages or incurs expenses (including attorney's fees, etc.) in connection with a claim of infringement, objection, claim, demand, petition for temporary restraining order, filing of an action, etc., as set forth in the preceding paragraph, you shall be liable to pay such damages and expenses to the Company. (5) In the event that a third party files a claim of infringement, objection, claim, demand, motion for temporary restraining order, or lawsuit, etc., in relation to the relevant material, etc., the Company may, at its sole discretion, disclose the contact information and other personal information of the customer who uploaded the relevant material to such third party.
Article 8 (Prohibited Matters)
You shall not engage in any of the following acts when using the Service: (1) Acts that violate laws and regulations or public order and morals (2) Actions related to criminal acts (3) Acts that infringe on copyrights, trademarks, or other intellectual property rights contained in the Service, such as the contents of the Service (4) Acts that destroy or interfere with the functions of servers or networks of the Company, other customers, or other third parties (5) Acts that may interfere with the operation of the Company's services (6) Acts of gaining or attempting to gain unauthorized access (7) Collecting or storing information about other customers in a manner not permitted by the Service. (8) Acts of using the Service for illegal purposes (9) Acts that cause disadvantage, damage, or discomfort to other customers of the Service or other third parties. (10) Impersonating another customer. (11) Advertisement, advertisement, solicitation, or business activities on the Service that are not authorized by the Company. (12) Providing benefits directly or indirectly to antisocial forces in relation to our services. (13) Other acts that we deem inappropriate.
Article 9 (Improvement of Service)
If you have any comments, suggestions, or requests ("Comments") regarding your use of the Service, please contact us at https://www.morphdb.io/contact. We will use your Comments to improve the Service in the future. We will not be obligated to respond to any comments received via the form regarding the Service. We will not be obligated to respond to any comments received through any other means, such as our inquiry form. We do not necessarily promise to make any improvements in response to your comments. We may contact you to inquire about the status of your comments, and we ask for your cooperation in improving the quality of our service. Article 10 (Suspension of Provision of the Service, etc.)
(1) The Company may suspend or discontinue the Service, in whole or in part, without prior notice to the customer, for any of the following reasons (i) When performing maintenance inspections or updating of computer systems related to the Service (ii) When provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters (iii) When computers or communication lines, etc. are stopped due to an accident (iv) In any other cases where the Company deems it difficult to provide the Service. (2) The Company shall not be liable for any disadvantage or damage incurred by the customer or a third party due to the suspension or interruption of the Service.
Article 11 (Change of Service Contents, etc.)
The Company may change the contents of the Service or discontinue providing the Service without notice to the customer, and shall not be liable for any damages incurred by the customer as a result of such changes.
Article 12 (Modification of Terms of Use)
The Company may change the Terms of Service at any time without notice to the customer, if the Company deems it necessary. Customers who use the Service after the Terms of Service have been modified shall be deemed to have agreed to the modified Terms of Service.
Article 13 (Handling of Personal Information)
(1) The Company shall appropriately handle personal information obtained through the use of the Service in accordance with the Company's Privacy Policy. The Company's Privacy Policy shall also be included in the individual regulations. (2) When you upload and publish information through the Service, you shall do so with full awareness of the possibility that a third party may view such information.
Article 14 (Prohibition of Assignment of Rights and Obligations)
You may not assign your rights or obligations under this Agreement to any third party or offer them as security without our prior written consent.
Article 15 (Governing Law and Jurisdiction)
(1) The Terms of Service shall be governed by and construed in accordance with the laws of Japan. (2) The Tokyo District Court shall have exclusive jurisdiction in the first instance over any disputes arising in connection with the Service.
